iTrader.im Dealer Terms

1. About these Terms

These Dealer Terms ("Dealer Terms") govern the use of the iTrader.im platform by motor dealers and other businesses advertising vehicles through iTrader.im.

iTrader.im is a trading name of Code Lab Platforms Limited, a company incorporated in the Isle of Man under company number 139244C.

By creating a Dealer account, purchasing a Dealer subscription or submitting a vehicle listing as a Dealer, you agree to be bound by these Dealer Terms, together with the iTrader.im Acceptable Use Policy, Refund Policy and any other terms or policies expressly incorporated into them.

2. Definitions

"iTrader", "we", "us" or "our" means Code Lab Platforms Limited trading as iTrader.im.

"Dealer" or "you" means the business, motor dealer, partnership, company or other commercial entity using iTrader.im to advertise vehicles.

"Listing" means a vehicle advertisement submitted to iTrader.im. "Active Listing" means a Listing currently available for sale and counting towards the applicable Dealer subscription limit. "Featured Listing" means a Listing for which the Dealer has purchased Featured advertising. "Platform" means the iTrader.im website and associated services.

3. Eligibility

3.1 A Dealer account may only be created and operated by a person aged 18 or over.

3.2 You must provide accurate and complete registration information and be authorised to act for the business identified.

3.3 iTrader may request evidence that you are a genuine motor dealer or vehicle-trading business and may verify identity, business details, trading activities or authority to advertise vehicles.

3.4 You must keep account and business information accurate and current.

4. Dealer subscriptions

Dealer Starter and Dealer Pro are charged at the monthly prices displayed at checkout, including any current offer. Starter allows up to 30 Active Listings. Pro allows up to 100 Active Listings. Both plans include up to 20 photographs per Listing, a dealer telephone number on listings, a dedicated Dealer profile page, and the dealer dashboard while the subscription gives operational access.

4.1 Subscription fees are charged monthly in advance and automatically renew unless cancelled.

4.2 There is no minimum subscription period. Cancel by email to hello@itrader.im. Where the dealer dashboard shows a cancellation request, you may use that request as well. iTrader cannot cancel the payment-provider subscription immediately from the site. Staff complete the provider cancellation. Cancellation takes effect at the end of the current paid billing period.

4.3 Existing Listings may remain live until the end of that paid period, subject to moderation rights. No pro-rata refund is normally provided.

4.4 Free trials, promotional pricing and introductory offers may be offered at the discretion of the directors and may be subject to additional conditions.

4.5 iTrader may introduce, amend or discontinue plans, subject to applicable contractual and legal requirements.

5. Active Listing limits

5.1 Dealer Starter is limited to 30 Active Listings and Dealer Pro to 100 Active Listings.

5.2 Dealers may advertise multiple vehicles, but each vehicle requires its own Listing.

5.3 A vehicle marked as sold ceases to be an Active Listing for subscription-limit purposes, subject to Platform functionality.

6. Featured Listings

6.1 Dealers may purchase Featured status for individual Listings at the price displayed at checkout.

6.2 Featured status does not guarantee views, enquiries, leads, sales or a particular search position.

6.3 Featured status may be removed without refund where a Listing breaches these Terms or the Acceptable Use Policy.

7. Vehicle Listings

7.1 You may only advertise vehicles genuinely available for sale which you own or are authorised to advertise.

7.2 Listing information must be accurate, complete and current. You must not deliberately omit, conceal or misrepresent material information.

7.3 Mileage must be accurate to the best of your knowledge and must not be deliberately falsified or misleading.

7.4 Written-off vehicles are not permitted, except that Category N and Category S vehicles are the permitted exception where the applicable category is clearly and prominently disclosed in the Listing. Vehicle Check information is supplied by third-party vehicle-data services and is not warranted as complete or accurate. Dealer reviews are user opinions subject to moderation and our Privacy Policy.

7.5 Multiple vehicles must not be advertised within one Listing. Number plates and vehicle parts are not permitted unless iTrader expressly allows them in future.

7.6 Photographs must represent the advertised vehicle, must not materially mislead and must not contain nudity, sexually explicit or otherwise unsuitable content.

7.7 You must have all necessary rights to photographs, descriptions, trademarks and other uploaded content.

7.8 You must promptly mark a vehicle as sold when it is no longer available.

8. Editing Listings

8.1 Dealers may edit Listings where the Platform permits. Edited Listings may be returned to validation or moderation before publication.

8.2 A change is checked before it replaces the public advert. Until that check is complete, the Listing stays live with its last approved details. iTrader may unpublish the Listing during review. Editing does not extend any applicable advertising period unless expressly stated.

9. Dealer responsibilities

Dealers must provide genuine business information and contact details, keep prices and specifications accurate, advertise vehicles genuinely available for sale, mark sold vehicles promptly, comply with applicable consumer protection law, and deal honestly and fairly with prospective purchasers.

10. Relationship with buyers

10.1 iTrader is a vehicle advertising marketplace. It does not sell vehicles and is not the owner, seller, dealer, broker or agent for an advertised vehicle.

10.2 The contract for sale is solely between the Dealer and purchaser. iTrader is not a party to that contract.

10.3 iTrader does not guarantee vehicle condition, legality, ownership, availability, history, mileage, roadworthiness, price or description.

10.4 Dealers are solely responsible for legal obligations arising from their vehicle sales.

11. Buyer enquiries

Buyers may browse Listings without an account. Sending a message through Contact Seller requires the buyer to sign in. Dealers are responsible for handling enquiries. iTrader does not guarantee that an enquiry will result in a sale.

12. Disputes Between Buyers and Sellers

12.1 Any contract for the sale of a vehicle advertised on iTrader.im is solely between the buyer and seller. iTrader.im is not a party to that transaction and is not responsible for resolving disputes between buyers and sellers.

12.2 Buyers and sellers are responsible for resolving disputes directly with each other, including disputes relating to condition, history, ownership, price, payment, delivery, representations or any other aspect of the transaction.

12.3 iTrader.im does not provide a formal dispute-resolution, mediation or arbitration service, but may, at its discretion, provide limited assistance where it considers this appropriate. This may include assisting with communication, contacting a party regarding a reported issue, requesting information or evidence, investigating potentially fraudulent, misleading or prohibited Listings, or taking action against a Listing or account for breach of iTrader's Terms or Acceptable Use Policy.

12.4 Any assistance is discretionary and does not make iTrader responsible for the underlying dispute or transaction. No particular outcome is guaranteed.

12.5 iTrader may decline involvement where a matter is primarily a private contractual dispute or where involvement would be inappropriate or disproportionate.

12.6 Where iTrader identifies evidence of fraud, unlawful activity or serious breach, it may remove or suspend a Listing or account and, where appropriate, report the matter to relevant authorities.

13. Prohibited conduct and moderation

13.1 You must comply with the iTrader.im Acceptable Use Policy.

13.2 iTrader may review, reject, amend, suspend, unpublish or remove Listings at its discretion where necessary or appropriate.

13.3 iTrader may suspend or terminate accounts for breach, suspected fraud, deception, unlawful activity, misuse or conduct that may harm users or iTrader.

13.4 Where action results from your breach, you will not normally be entitled to a refund.

13.5 Where the Platform permits, a Dealer may submit one public response to an approved written review. Dealer responses and later edits are moderated before publication. While an edit is awaiting moderation, the last approved response may remain public. A response does not alter the review's star rating.

13.6 A Dealer may raise a private dispute about an approved review for administrator assessment and may provide relevant supporting notes. Disputes and supporting information are not published. Raising a dispute does not guarantee that a review will be removed, hidden or changed.

13.7 Dealer responses, disputes and supporting notes must be accurate, relevant, professional and compliant with the Acceptable Use Policy. They must not disclose unnecessary personal information, threaten or harass a reviewer, manipulate ratings, or contain unlawful or misleading material.

14. No guarantee of sales

Dealer subscription and Featured Listing fees purchase advertising services, not guaranteed views, enquiries, leads, sales, traffic or commercial outcomes.

15. Payments and refunds

15.1 You must provide valid payment details and authorise recurring collection where a recurring payment method is selected.

15.2 Failed payments may result in suspension or removal of Listings until payment is made.

15.3 Refunds are governed by the iTrader.im Refund Policy. Nothing in these Terms limits statutory rights that cannot lawfully be excluded.

16. Intellectual property and privacy

16.1 The Platform, branding, software, design and functionality are owned by or licensed to Code Lab Platforms Limited.

16.2 You retain ownership of content you lawfully upload, but grant iTrader a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, adapt and distribute it as reasonably required to operate, market and promote the Platform.

16.3 Personal information is handled in accordance with iTrader's Privacy Policy and applicable data protection law.

17. Limitation of liability

17.1 Nothing excludes or limits liability that cannot lawfully be excluded or limited.

17.2 Subject to clause 17.1, iTrader is not responsible for losses arising from a vehicle transaction or for acts, omissions, representations or conduct of buyers or Dealers.

17.3 iTrader does not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, iTrader is not liable for indirect, consequential or purely economic losses arising from use of the Platform.

18. Suspension, termination and changes

18.1 You may cancel your subscription at any time. iTrader may suspend or terminate an account for breach or where reasonably necessary to protect the Platform, users or marketplace integrity.

18.2 iTrader may update these Terms. Where changes materially affect an existing paid subscription, appropriate notice will be provided where required by law.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Isle of Man. Subject to mandatory rights, the courts of the Isle of Man shall have jurisdiction over disputes arising from or relating to these Terms.
